Terms & Conditions

Master Services Framework & Operating Agreements governing software engineering contracts executed by Custom Software Development Singapore Co.

1. Engagement & Project Scope

Custom Software Development Singapore Co. (“Company”) provides custom software design, full-stack cloud development, AI engineering, CRM/ERP integration, and maintenance services as detailed in executed Statements of Work (SOW) or Master Services Agreements (MSA).

2. 100% Intellectual Property (IP) Ownership Assignment

Full IP Transfer Clause: Upon receipt of 100% full payment for a given software milestone or project release, the Company irrevocably transfers, assigns, and delivers all right, title, and interest in and to the custom source code, application assets, database schemas, and documentation to the Client.

The Client retains absolute legal ownership without recurring licensing fees, vendor lock-in, or proprietary runtime dependencies.

3. Payment Schedules & Milestone Invoicing

Software project payments follow agreed-upon milestone schedules specified in SGD (Singapore Dollars) or USD equivalent. Invoices are subject to standard Singapore Goods & Services Tax (GST) where applicable.

  • Sprint Deposits: 30% project kickoff deposit upon contract execution
  • Milestone Payments: 40% tied to mid-sprint staging environment deployment demos
  • Final Delivery: 30% upon final User Acceptance Testing (UAT) sign-off and production release

4. 90-Day Post-Launch Bug-Free Warranty & SLA Guarantees

All delivered software includes an inclusive 90-day post-launch warranty covering critical bug fixes, technical defects, and security patch remediation at zero additional charge.

Enterprise hosting and maintenance agreements include a 99.99% system availability SLA backed by 24/7 Singapore-based DevOps monitoring.

5. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by, construed, and enforced strictly in accordance with the laws of the Republic of Singapore.

Any disputes arising out of or in connection with project contracts shall be submitted to the exclusive jurisdiction of the Singapore Courts or resolved via arbitration at the Singapore International Arbitration Centre (SIAC).
